Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Ms. Francis AI LLC ("Ms. Francis," "we," "us," or "our") governing your use of the Ms. Francis tutoring service, available at app.msfrancis.ai and related websites and applications (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Ms. Francis provides an AI-powered tutoring service across a range of school subjects, currently including mathematics, physics, chemistry, English, history, Spanish, and French. The Service uses artificial intelligence to converse with students, answer questions, and support learning, including optional voice features. Features, subjects, and plans may change over time.

The Service is a study aid, not a substitute for professional instruction. It is intended to support learning, not to replace teachers, schools, or qualified professionals.

2. Eligibility and Accounts

Account holders must be at least 18 years old. The person who creates an account and provides payment must be a legal adult.

Self-signup users must be at least 13 years old.

Children under 18 may use the Service only through an account created and supervised by a parent or legal guardian. If you create a student profile for a child, you represent that you are the child's parent or legal guardian (or otherwise authorized to act on their behalf), and you are responsible for that child's use of the Service.

We do not knowingly allow children under 13 to create their own accounts.

You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us promptly at team@msfrancis.ai if you believe your account has been compromised.

You agree that the information you provide when creating an account is accurate and that you will keep it up to date.

3. Parental Responsibility

If you are a parent or guardian using the Service for or with your child:

• You are responsible for supervising your child's use of the Service.
• You consent to your child's use of the Service and to the collection and use of their information as described in our Privacy Policy.
• You are responsible for all charges and activity associated with your account, including use by your children.

The Service uses AI, which can occasionally produce incorrect or incomplete information. We encourage parents and students to use judgment and to verify important information.

4. Subscriptions, Free Trial, and Billing

Plans. The Service is offered on a subscription basis with different plans (such as Single, Family, and Big Family), which vary by the number of student profiles and included voice tutoring. Current plans and prices are shown at sign-up.

Free trial. We may offer a free trial period (currently 7 days). To start a trial, you provide a valid payment method. You will not be charged during the trial. Unless you cancel before the trial ends, your subscription will automatically begin and your payment method will be charged the applicable plan price at the end of the trial.

Recurring billing. Subscriptions renew automatically on a recurring basis (monthly or yearly, depending on the plan you choose) until cancelled. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis for the applicable fees, including any applicable taxes.

Payment processing. Payments are processed on our behalf by Stripe, our third-party payment processor. Ms. Francis AI LLC is the seller of record for all orders. By providing a payment method, you authorize us and Stripe to charge that method in accordance with these Terms and your selected plan, and you agree to Stripe's applicable terms and privacy policy. We do not store your full payment card details; these are handled securely by Stripe.

Plan changes. You may upgrade your plan; upgrades take effect promptly and may result in a prorated charge for the remainder of the current billing period. Other plan changes are handled as described in the Service.

Cancellation. You may cancel your subscription at any time through the Service (including via the billing portal). When you cancel, your subscription remains active until the end of the current billing period (or trial period), and you will not be charged for the following period. Cancelling stops future charges; it does not retroactively refund charges already made.

Refunds. We want you to be happy with the Service. You may cancel at any time. If you are not satisfied, contact us at team@msfrancis.ai within 30 days of a charge and we will refund that charge. Beyond 30 days, fees are non-refundable and we do not provide refunds or credits for partial periods or unused time, except where required by law.

Price changes. We may change our prices. If we change the price of your subscription, we will give you advance notice, and the new price will apply to your next billing period after the notice. Your continued use after a price change takes effect constitutes acceptance of the new price.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or abusive purpose;
• Attempt to access accounts, data, or systems you are not authorized to access;
• Interfere with or disrupt the Service or its infrastructure;
• Reverse engineer, scrape, or attempt to extract the underlying models or source code, except as permitted by law;
• Use the Service to generate content that is unlawful, harassing, hateful, or otherwise objectionable;
• Resell, sublicense, or commercially exploit the Service without our permission; or
• Misrepresent your identity, age, or authority to create an account or student profile.

We may suspend or terminate accounts that violate these Terms.

6. Intellectual Property

The Service, including its software, design, text, graphics, and logos (but excluding content you submit), is owned by Ms. Francis or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial educational purposes in accordance with these Terms.

You retain ownership of the content you submit (such as questions and messages). By submitting content, you grant us a license to use, process, and store it as needed to provide and improve the Service, consistent with our Privacy Policy.

7. AI-Generated Content and Disclaimers

The Service relies on artificial intelligence to generate responses. AI can make mistakes, including producing information that is inaccurate, incomplete, or out of date. Responses are provided for educational support only and should not be relied upon as professional, academic, medical, legal, or other expert advice. You are responsible for evaluating the accuracy and appropriateness of any output before relying on it.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements or improve any particular educational outcome.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MS. FRANCIS AI LLC AND ITS OWNERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

9. Indemnification

You agree to indemnify and hold harmless Ms. Francis AI LLC and its owners, employees, and service providers from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if we are required to by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Texas, except where applicable law gives you the right to bring a claim in your local jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" above and, where appropriate or required, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
